ShopReel Terms of Service.

Definitions

ShopReel

The TikTok feed widget application described in these Terms of Service, operated by Plugly.io ApS as part of the Plugly product family (plugly.io). References to "the Application" in these Terms mean ShopReel.

Subscription

When a User connects their ShopReel account to a company, a subscription is created.

Application

ShopReel and any associated add-on modules.

Application Data

Data belonging to the User and processed within ShopReel, such as widget configurations, account information and metadata cached on behalf of the User.

User

A person who has created a ShopReel/Plugly account.

Usage Data

Technical information and traffic data generated through the use of ShopReel, such as operating system, browser type, IP address and similar, including aggregated data such as session duration, feedback and the number of widgets created.

Data Controller

The entity that determines the purposes and means of the processing of personal data.

Data Processor

The entity that processes personal data on behalf of the data controller.

ShopReel Account

When a User creates an account at app.plugly.io and connects the ShopReel module, they gain access to a ShopReel account from which they can create and manage one or more ShopReel widgets.

Personal Data

Any information that can identify a person, either directly or indirectly.

Company

The company whose webshop or online solution embeds a ShopReel widget.

TikTok

The third-party social platform operated by TikTok Ltd. and its affiliates, accessed by ShopReel via TikTok's official APIs (TikTok Login Kit and TikTok Display API).

1. Acceptance of the Terms

1.1 By checking "I accept the terms" on the ShopReel registration or activation form, you confirm your acceptance of these Terms of Service.

1.2 These Terms apply between Plugly.io ApS (operator of ShopReel) and you as a User.

1.3 ShopReel is offered exclusively to commercial entities, and therefore no right of withdrawal applies to the purchase of subscriptions for your ShopReel account.

2. Duration of the ShopReel Account

2.1 The agreement between you as a User and Plugly.io ApS (operator of ShopReel) enters into force upon registration of your ShopReel account and continues until the user relationship is terminated in accordance with these Terms.

3. Use of ShopReel

3.1 Plugly.io ApS grants the User non-exclusive access to ShopReel. This access is valid only for the User. ShopReel may not be used by others or to perform data processing or services for others. The User is responsible for those to whom the User grants access to ShopReel or who use the User's login.

3.2 The User must ensure that ShopReel is not used in a manner that may damage the name, reputation or goodwill of ShopReel, Plugly or Plugly.io ApS, or that conflicts with applicable laws or other regulations, including the terms of TikTok.

3.3 The User is solely responsible for the content and lawfulness of their data and may not transmit or process malicious code, data or similar (such as viruses) to or with ShopReel.

4. Price and Payment Terms for ShopReel Subscriptions

4.1 The current prices for ShopReel are listed at plugly.io/pricing. Prices are stated excluding VAT and in Danish Kroner (DKK).

4.2 Plugly.io ApS reserves the right to change the composition, content and prices of ShopReel and ShopReel subscriptions, with notice via email or by posting on the ShopReel website.

4.3 A ShopReel subscription is automatically renewed at the end of the subscription period, unless it has been cancelled.

4.4 Unless otherwise expressly agreed or stated in the subscription terms, the ShopReel subscription amount is charged in advance for the chosen subscription period.

4.5 By entering into a ShopReel subscription, the User authorises Plugly.io ApS to continuously charge the subscription amount to the User's payment card. If the User uses additional services or extended functionality within ShopReel, the User accepts that separate payment must be made for these additional services or extended functionality. Upon payment in connection with subscription renewal and/or additional services, an invoice will be sent to the email address provided by the User.

4.6 If the User upgrades the ShopReel subscription, e.g. by purchasing additional widgets, Plugly.io ApS will charge the difference for the remainder of the billing period. Upon the next renewal, the full new price will be charged.

4.7 The User may pay using the following payment cards:

• Dankort/VISA Dankort
• VISA
• MasterCard
• Maestro
• JCB

4.8 The User may at any time change their payment card in the ShopReel account under "My Account".

4.9 Plugly.io ApS will automatically send the User an email if the card is close to expiring or in case of insufficient funds on the card.

5. Application Data

5.1 As a ShopReel User, you are responsible for any personal information you enter and process within ShopReel (Application Data). You own and may freely dispose of your own content within ShopReel. Important terms for the processing of personal data are set out in the separately concluded Data Processing Agreement and in the ShopReel Privacy Policy.

5.2 Plugly.io ApS may use Application Data to maintain, provide, price and develop ShopReel. After the end of the user relationship, Plugly.io ApS may only process Application Data in anonymised form.

5.3 Plugly.io ApS may grant third parties and authorities access to Application Data in accordance with applicable legislation, e.g. in connection with court rulings, requests from authorities, bankruptcy or death.

6. Usage Data

6.1 Plugly.io ApS is responsible for Usage Data generated through ShopReel that contains personal information (e.g. CVR number).

6.2 Usage Data may be used by Plugly.io ApS for statistics and analysis of ShopReel.

6.3 If a CVR number is linked to personal data, Plugly.io ApS processes such information for statistics and analysis of ShopReel as data controller. These statistics may be combined with publicly available data, Usage Data and Application Data. After the end of the user relationship, Application Data will be anonymised.

7. Operational Stability

7.1 Plugly.io ApS strives for high operational stability for ShopReel but is not liable for outages or operational disruptions caused by factors beyond Plugly.io ApS's control, such as power failures, equipment errors, internet or telecommunications connection issues, or changes to TikTok's API or service. ShopReel is provided "as is", and Plugly.io ApS disclaims any warranty or assurance, whether direct or indirect.

7.2 In the event of outages or disruptions to ShopReel, Plugly.io ApS will make every effort to restore normal operations as quickly as possible.

7.3 Scheduled interruptions will primarily take place between 21:00 and 06:00 CET. Any interruptions outside this time window will be announced to the greatest extent possible.

8. Termination

8.1 The User may at any time contact info@plugly.io to have their ShopReel account deleted. This is also considered a cancellation of any associated ShopReel subscriptions.

8.2 If the ShopReel account is cancelled or deleted during a subscription period, the User must still pay for the service until the subscription period expires. The User's obligations under this agreement apply for the entire subscription period.

8.3 If a ShopReel widget has had no activity for 15 months, it is considered inactive, and Plugly.io ApS reserves the right to delete it. The User will be notified by email one month before access is closed.

8.4 Cancellation of a ShopReel subscription must be done via the application no later than the day before the start of a new subscription period.

8.5 If the User fails to pay for the ShopReel subscription, e.g. due to insufficient funds on the payment account, Plugly.io ApS reserves the right to close access to the associated ShopReel widget immediately upon registration of non-payment, until payment is made.

8.6 Plugly.io ApS reserves the right to terminate a ShopReel subscription with 3 months' notice.

8.7 Plugly.io ApS reserves the right to terminate a User's ShopReel subscription without notice in the event of bankruptcy or insolvency of the associated company.

8.8 In the event of material breaches of these Terms - including breaches of TikTok's Terms of Service relating to data accessed through ShopReel - Plugly.io ApS may terminate subscriptions with immediate effect and close the User's ShopReel account.

9. Changes

9.1 Plugly.io ApS reserves the right to continuously update and improve ShopReel, as well as change its composition and structure. Such changes may take place with or without notice and may affect services, including information and data displayed by ShopReel.

9.2 The User is responsible for keeping contact information up to date in order to receive relevant updates and information about ShopReel.

10. Intellectual Property Rights

10.1 ShopReel and information from it, except for Application Data, are protected by copyright and other intellectual property rights and belong to or are licensed to Plugly.io ApS. The User must inform Plugly.io ApS of any known infringement of these rights or unauthorised use of ShopReel.

10.2 No intellectual property rights are transferred to the User regarding ShopReel or other material on the ShopReel website or application.

10.3 The User grants Plugly.io ApS and its sub-processors a permission and worldwide licence to handle and operate ShopReel and fulfil their obligations in respect of the material uploaded, including Application Data. The User warrants that the uploaded material does not infringe any third-party rights and does not contravene applicable law.

10.4 All content retrieved from TikTok via ShopReel (videos, thumbnails, captions, profile information and engagement statistics) remains the property of TikTok and/or its respective rights holders, including the User as the original creator. Plugly.io ApS claims no ownership of such content and only displays it on behalf of the User in accordance with TikTok's Developer Terms of Service.

11. TikTok Integration

11.1 ShopReel allows the User to connect their own TikTok account in order to display their public TikTok profile information and their public TikTok videos on the User's website via an embeddable widget.

11.2 By connecting a TikTok account to ShopReel, the User authorises Plugly.io ApS to access, retrieve, cache and display content from that TikTok account solely for the purpose of operating the ShopReel widget(s) configured by the User. The scope of access is limited to what is technically necessary and to what the User has consented to during TikTok's official OAuth authentication flow, namely the scopes user.info.basic, user.info.profile, user.info.stats and video.list.

11.3 The User's use of TikTok is, in addition to these Terms, governed by the terms and policies of TikTok, including:

• TikTok Developer Terms of Service

The User is responsible for complying with TikTok's terms in relation to the TikTok account connected to ShopReel.

11.4 The User warrants that they are the rightful owner of, or have all necessary rights and permissions to display, the content retrieved from their connected TikTok account via ShopReel, and that displaying such content via ShopReel does not infringe any third party's rights.

11.5 The User may revoke ShopReel's access to a connected TikTok account at any time, either (a) within ShopReel by disconnecting the TikTok account or deleting the widget, or (b) directly within TikTok by removing ShopReel as an authorised application. Upon revocation, Plugly.io ApS will cease retrieving new data from that TikTok account and will delete cached content and OAuth tokens within 24 hours, as further described in the ShopReel Privacy Policy.

11.6 ShopReel always plays TikTok videos through TikTok's official embed player and never downloads, stores, re-hosts or proxies the actual video files. Only thumbnails are cached for performance reasons.

11.7 Plugly.io ApS does not control and is not responsible for the availability, accuracy, completeness or behaviour of TikTok or the TikTok APIs. Changes, restrictions or discontinuations imposed by TikTok may affect the functionality of ShopReel without prior notice and without giving rise to any liability for Plugly.io ApS.

11.8 ShopReel only displays content from TikTok accounts that the User has explicitly connected. ShopReel does not aggregate, scrape or display content from TikTok accounts that the User has not been authorised to display.

12. Assignment

12.1 Plugly.io ApS reserves the right to freely assign their rights and obligations under these ShopReel Terms to a group-affiliated company or to a third party.

13. Liability

13.1 Plugly.io ApS disclaims any liability in connection with these Terms, ShopReel or the use of ShopReel, whether arising in contract or in tort, including for consequential damages or other indirect losses, as well as losses caused by simple negligence.

13.2 Plugly.io ApS assumes no responsibility for third-party solutions that are available and/or integrated with ShopReel, including TikTok as defined in section 11. Plugly.io ApS cannot be held liable for the accuracy, completeness, quality or reliability of the information retrieved from TikTok, nor for the results obtained through such third-party solutions. Likewise, Plugly.io ApS is not responsible for the availability, security or functionality of TikTok or any other third-party solution, including for any damages and/or losses caused by them. It is the User's responsibility to prove that any losses cannot be attributed to third-party solutions.

13.3 Regardless of the type of loss or basis of liability, Plugly.io ApS's total liability in relation to ShopReel is limited to the User's payment for ShopReel for the last 12 months prior to the event giving rise to liability, and in any case capped at DKK 10,000. The User agrees to hold Plugly.io ApS harmless against product liability damages, losses to third parties and other claims from third parties as a result of the User's use of ShopReel.

13.4 The User agrees to hold Plugly.io ApS harmless against any claim or loss arising from product liability, losses to third parties or liability to third parties, to the extent that it stems from the User's use of ShopReel.

13.5 Plugly.io ApS is not liable for outages or temporary disruptions of ShopReel, failures of power supply or internet connection, vandalism on the system (both physical as well as computer viruses and hacking), changes to the TikTok API, or other circumstances beyond Plugly.io ApS's control.

13.6 The use of ShopReel, including support from Plugly.io ApS as well as other communication, is solely to be regarded as guidance. Plugly.io ApS cannot be held liable for this.

14. Confidentiality and Data Security

14.1 For the processing of personal data where the company is the data controller, reference is made to the provisions of the Data Processing Agreement between Plugly.io ApS and the company. For Plugly.io ApS's processing of personal data as data controller, reference is made to the ShopReel Privacy Policy.

14.2 Plugly.io ApS is bound by a duty of confidentiality regarding all information that may come into Plugly.io ApS's possession about the User.

14.3 To the extent that the User uses information, usernames or passwords relating to third-party information or services (including TikTok) in connection with ShopReel, the User assumes responsibility for ensuring that the disclosure of such information and Plugly.io ApS's processing of such information does not infringe rights or agreements with third parties. The User shall indemnify Plugly.io ApS against any loss arising from this provision.

15. Changes to the Terms

15.1 Plugly.io ApS may at any time change and update these ShopReel Terms of Service and information regarding rights. The applicable Terms will always be available at plugly.io/en/shopreel/terms/. Use of ShopReel and/or the ShopReel website following a change to these Terms is considered the User's acceptance of the amended Terms.

16. Disputes

16.1 If a disagreement arises between the User and Plugly.io ApS regarding ShopReel, the disagreement shall be settled under Danish law with the District Court of Hjørring as the court of first instance.

17. Validity

17.1 These ShopReel Terms of Service are valid from 21 May 2026 and replace all previous versions.
